Competition Terms and Conditions

These Competition Terms and Conditions (“Competition Terms”) govern the Kustom Concept Store pop-up competition (the “Competition”) organised by Kustom AB, reg. no. 559463-5038, Sturegatan 6, 114 35 Stockholm, Sweden (“Kustom”, “we”, “us”).

The Competition is open only to existing Kustom merchants who meet the eligibility criteria in Section 2.

By ticking the acceptance box and submitting an Application on the Competition Page, the Merchant agrees to be bound by these Competition Terms. Capitalised terms not defined here have the meaning given to them in the Agreement (as defined below).

1. Definitions

“Agreement” means the existing agreement between Kustom and the Merchant governing the Merchant’s use of Kustom’s Checkout Solution, comprising the GTCs, the Merchant’s Order Form, and any Appendices, guidelines, policies and other documents incorporated by reference, as amended from time to time.

“Application” means a complete entry submitted by an Eligible Merchant via the Competition Page during the Application Period.

“Competition Page” means the dedicated landing page at kustom.co/pop-up-competition through which Applications are submitted and on which these Competition Terms are published in full.

“Concept Store” means the Kustom Concept Store at Sturegatan 6, 114 35 Stockholm.

“GTCs” means Kustom’s General Terms and Conditions available here.

“Jury” means the panel appointed by Kustom to evaluate Applications and select the Winner(s) in accordance with Section 4.

“Merchant” has the meaning given to it in the GTCs, i.e. the business entity that has entered into the Agreement with Kustom.

“Pop-up Period” means the period during which a Winner operates its pop-up at the Concept Store, as described in Section 6.

“Prize” means the prize described in Section 6.

“Winner” means an Eligible Merchant selected by the Jury to receive the Prize in accordance with Section 4.

2. Eligibility

2.1 To be eligible to enter the Competition (an “Eligible Merchant”), a Merchant must, both when applying and when selected: (a) have an active Agreement with Kustom that is in good standing; (b) have recorded annual revenue for the financial year 2025 of more than SEK 10,000,000 and less than SEK 60,000,000; (c) be a legal entity validly established and operating in Sweden; and (d) be able, in Kustom’s reasonable assessment, to practically deliver a pop-up within the Pop-up Period(s) on offer. Only one Application per Merchant (i.e. per organisation number/brand) is permitted.

2.2 Kustom may verify eligibility at any time, disqualify an Application or withdraw a Prize already offered or awarded if these criteria are not met or the Application contains false or misleading information, and may, at its sole discretion, accept an Application that does not fully meet criterion (b).

3. How to Apply

3.1 Applications must be submitted via the Competition Page during the applicable competition period.

3.2 To apply, the Merchant must provide the requested company and contact details, submit a written motivation explaining why its brand should win, and indicate its preferred Pop-up Period.

3.3 By ticking the acceptance box and submitting an Application, the Merchant confirms that the information provided is accurate and complete, that it meets the eligibility criteria in Section 2, and that it accepts these Competition Terms. Applying is free of charge and does not require any purchase or commitment beyond the existing Agreement.

4. Selection Process

4.1 The Jury will select the Winner(s) based on the quality, clarity and originality of the written motivation, the strength of the Merchant’s brand and product offering, its potential to create an engaging in-store experience, and the feasibility of delivering a pop-up within the requested Pop-up Period(s).

4.2 The Jury’s decision is final and cannot be appealed. Kustom is not obliged to provide detailed reasons for its selection, but may, where practicable, share brief feedback with unsuccessful applicants.

4.3 Kustom may, at its discretion, maintain a shortlist of eligible, non-winning Applications to draw on if a selected Winner is unable to proceed under Section 5.4.

5. Dates and Confirmation of Winners

5.1 Entrants may indicate a preferred Pop-up Period when applying. Preferred dates are not guaranteed; the final period will be agreed between Kustom and the Winner based on availability.

5.2 Winners will be notified by email no later than 21 September 2026.

5.3 A Winner must confirm acceptance of the Prize within five (5) business days of notification.

5.4 If a Winner cannot participate during an available period, does not respond within the specified timeframe, declines the Prize, or does not meet the eligibility criteria in Section 2, Kustom may offer the Prize to another entrant (drawn from the shortlist under Section 4.3) or decide not to award it.

5.5 Kustom will announce the Winner(s) publicly (including by email to all applicants and on Kustom’s LinkedIn page and/or website). By accepting the Prize, a Winner consents to being named and featured, subject to Section 8.

6. The Prize

6.1 The Prize consists of the opportunity to operate a pop-up in the Kustom Concept Store at Sturegatan 6, 114 35 Stockholm, for one agreed period of one week (the “Pop-up Period”). The Prize includes:

(a) use of the Concept Store during the Pop-up Period;

(b) use of the store’s furniture, such as the checkout counter, shelving systems, movable clothing racks and display props;

(c) the Winner’s logo displayed on the shop window in black vinyl, approximately 50 cm wide and 30 cm high; and

(d) use of Kustom’s in-person payment solution, in accordance with the supplementary terms available here (the “In-Person Payment Supplementary Terms“).

6.2 Unless expressly stated otherwise, the Prize does not include costs relating to products, inventory, transport, travel, accommodation, staffing, insurance, installation, merchandising, cleaning or restoration of the space. For the avoidance of doubt, the Merchant remains fully responsible for all fees, transaction costs and other charges payable for its use of Kustom’s in-person payment solution during the Pop-up Period, in accordance with the Agreement and the In-Person Payment Supplementary Terms; the Prize does not waive, include or discount any such fees.

6.3 The Prize has no cash alternative and cannot be transferred to another company without Kustom’s prior written approval. If, for reasons beyond Kustom’s reasonable control, the Concept Store or the agreed Pop-up Period becomes unavailable, Kustom may withdraw the Prize without liability.

7. Running the Pop-up

7.1 The Winner is responsible for operating and staffing the pop-up during the agreed period, and for ensuring that its products, marketing, personnel and activities comply with applicable laws and regulations.

7.2 The Winner may adapt and merchandise the space subject to Kustom’s prior approval. Any material alterations to the premises must be agreed with Kustom in advance.

7.3 The Winner must return the space, fixtures and equipment to their original condition, and is responsible for reasonable costs associated with restoring the space where required as a result of its use.

7.4 Further practical requirements regarding access, opening hours, staffing, installation, security, cleaning, insurance and restoration will be agreed with the Winner before the pop-up.

8. Marketing, Content and Intellectual Property

8.1 By submitting an Application, the Merchant grants Kustom a non-exclusive, royalty-free licence to use the Merchant’s name, logo, trademarks and Application content to run, evaluate and communicate about the Competition, consistent with Section 6.6 of the GTCs.

8.2 A Winner further grants Kustom a non-exclusive, royalty-free licence to photograph and film its pop-up, and to use such content together with the Winner’s name, logo and trademarks for Kustom’s marketing, social media, PR and case-study purposes, during and after the Pop-up Period, unless the Winner objects in writing to a specific use. Winners agree to participate reasonably in related content creation (e.g. short interviews or photography) as reasonably requested.

8.3 Each party retains ownership of its own pre-existing intellectual property.

9. Personal Data

9.1 Kustom processes personal data submitted with an Application (e.g. the applicant’s name, role and contact details) as data controller, to administer the Competition, communicate with applicants, and, for Winners, to prepare and run the pop-up.

10. Liability

10.1 Participation in the Competition, and use of the Prize, is provided on an “as is” basis. To the fullest extent permitted by law, Kustom is not liable for indirect or consequential loss (including loss of profit, revenue or goodwill) arising out of or in connection with the Competition or the Prize, save for liability that cannot be limited or excluded under applicable law (including for gross negligence or wilful misconduct). This Section does not affect the parties’ liability under the Agreement, which continues to apply to their broader relationship.

11. Changes and Cancellation

11.1 Kustom may cancel, postpone or modify the Competition or the Prize, including for reasons beyond its reasonable control, and will notify affected Merchants of any material change where reasonably possible. Kustom may also amend these Competition Terms at any time before the close of the Application Period by publishing an updated version on the Competition Page.

12. Relationship to the Agreement

12.1 These Competition Terms apply in addition to, and form part of, the Agreement already in place between Kustom and the Merchant, and are interpreted consistently with the order of precedence set out in Section 24.1 of the GTCs. On any matter not specifically addressed by these Competition Terms, the Agreement prevails; on matters these Competition Terms specifically address (the conduct of the Competition and the award of the Prize), these Competition Terms prevail as the more specific terms. These Competition Terms do not otherwise amend the Agreement governing the Merchant’s use of Kustom’s Checkout Solution.

13. General and Governing Law

13.1 If any provision of these Competition Terms is invalid or unenforceable, the remaining provisions continue in full force and effect. Kustom’s failure to enforce a provision is not a waiver of it. Competition-specific queries can be sent to merchant@kustom.co; other notices follow the notice provisions of the Agreement.

13.2 These Competition Terms are governed by the substantive law of Sweden. Any dispute arising out of or in connection with these Competition Terms will be resolved in the same manner as disputes under the Agreement, as set out in Section 25 of the GTCs.
